GRANTServ — Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you and GRANTServ, LLC ("GRANTServ," "we," "us," or "our") governing your access to and use of the GRANTServ community vendor management portal available at GRANTServ.io and any related services (collectively, the "Platform").

By registering for an account, accessing, or using the Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

Three classes of users are covered by these Terms: Residents, Contractors, and Community Administrators. Certain provisions apply specifically to one or more of these classes and are marked accordingly.

2. The Platform — What GRANTServ Is and Is Not

GRANTServ provides a technology platform that enables residents of participating residential communities to post service requests, receive bids from independent contractors, and manage the resulting transactions. GRANTServ is a marketplace and software platform only.

GRANTServ is NOT:

• A licensed contractor, general contractor, or subcontractor
• A party to any service agreement between a resident and a contractor
• An employer, agent, partner, or joint-venturer of any contractor
• A guarantor of any contractor's work, license status, insurance coverage, or conduct
• A licensed real estate, financial, or legal advisor

Any contract for home services is formed directly and exclusively between the resident and the contractor. GRANTServ's role is limited to facilitating introductions and managing the transaction flow.

3. Eligibility and Registration

3.1 Residents

• Must reside in or own property in a participating community at the time of registration
• Must be 18 years of age or older
• Must provide an accurate home address that matches the community roster maintained by the HOA or community administrator
• Are responsible for keeping account information current; notify us promptly of any address changes

3.2 Contractors

• Must hold all licenses required by the State of North Carolina for the trade categories in which they bid
• Must carry general liability insurance at minimum levels set by GRANTServ (currently $1,000,000 per occurrence)
• Must consent to a background check as part of the approval process
• Must maintain current, accurate credentials; a lapsed license or expired insurance is grounds for immediate suspension per the Contractor Suspension Policy
• Represent that all information submitted during registration is truthful and accurate

3.3 Community Administrators

Community administrators are designated by the HOA or community governing body. They agree to these Terms and to GRANTServ's separate Administrator Agreement on behalf of the community they manage.

4. Fees, Pricing, and the Admin Fee

GRANTServ charges an administrative fee on completed jobs. The fee is determined by the contractor's tier status and is calculated on the gross resident price as follows:

The price shown to residents is the all-in gross price inclusive of the admin fee. Contractors receive their net bid amount. Residents are never charged more than the gross price shown at the time they accept a bid.

Community Dividend: 0.25% of each completed job's gross price is allocated to the community's Dividend Fund. This is carved from the admin fee and does not increase the resident's price.

Fee Waiver: GRANTServ may waive the admin fee for a community during a launch period. During a waiver, the resident pays the contractor's net bid directly. The community dividend also pauses during an active waiver.

5. The GRANT Score

The GRANT Score (Genuinely Recommended & Neighbor Trusted) is a proprietary composite score assigned to contractors based on verified transaction data within the Platform. It is provided for informational purposes only. GRANTServ does not guarantee the accuracy of any GRANT Score and expressly disclaims any liability for decisions made in reliance on it.

Attempting to manipulate the GRANT Score through fake reviews, fraudulent vouches, or collusion is a material breach of these Terms and may result in permanent account termination.

6. Conduct Standards

All users agree not to:

• Post false, misleading, or defamatory content
• Solicit or accept payment outside the Platform to circumvent fees
• Harass, threaten, or discriminate against other users
• Use the Platform to transmit spam, malware, or unsolicited commercial communications
• Attempt to reverse-engineer, scrape, or copy the Platform
• Create multiple accounts or impersonate another person or entity

Contractors additionally agree not to:

• Perform services under licenses held by someone else
• Sub-contract work without the resident's knowledge and consent
• Solicit residents directly after being introduced through the Platform, for a period of 12 months after last Platform use

7. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEIGHBORSERV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

NEIGHBORSERV IS NOT LIABLE FOR: (A) THE QUALITY, SAFETY, OR LEGALITY OF ANY SERVICES PERFORMED BY CONTRACTORS; (B) ANY PROPERTY DAMAGE, PERSONAL INJURY, OR LOSS ARISING FROM SERVICES; (C) CONTRACTOR CONDUCT ON OR OFF THE PLATFORM; OR (D) ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE PLATFORM. OUR TOTAL LIABILITY TO ANY USER FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL ADMIN FEES PAID BY THAT USER IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $500.

8. Dispute Resolution

Disputes between residents and contractors regarding service quality or payment are governed by the separate GRANTServ Dispute Resolution Policy. GRANTServ may, but is not obligated to, facilitate resolution between parties.

Disputes between users and GRANTServ shall first be submitted to informal mediation. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the AAA Consumer Arbitration Rules, with proceedings conducted in Lincoln County, North Carolina. You waive the right to a jury trial and to participate in a class action.

9. Termination

GRANTServ may suspend or terminate any account at any time for breach of these Terms, for conduct detrimental to the community, or for any reason with 30 days' notice. Users may close their accounts at any time. Termination does not affect obligations arising from completed transactions.

10. Governing Law

These Terms are governed by the laws of the State of North Carolina without regard to conflict-of-law principles. Any litigation not subject to arbitration shall be brought in the courts of Lincoln County, North Carolina.

11. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
